Conditions générales de vente.
Les présentes Conditions Générales de Vente (« CGV ») régissent les prestations de services fournies par Data Tech Soft Solutions à ses clients. Elles s'appliquent dès acceptation d'un devis ou signature d'une commande, et prévalent sur toute condition d'achat contraire, sauf dérogation expresse écrite.

1. Service Provider
Services are provided by Data Tech Soft Solutions, hereinafter "DTS". Full contact details on the Legal notice.
2. Services Covered
These Terms of Sale apply to all services offered by DTS:
- Custom data applications: scoping, pipeline architecture, analytical dashboards.
- Odoo ERP implementation and support: deployment, custom modules, migration, application maintenance.
- Web and mobile development: web applications, showcase sites, native or cross-platform mobile apps.
- Automation and AI: n8n workflows, AI agents, chatbots, industrialised machine learning.
- DTS Solutions: DTS People, DTS Finance, DTS Legal, DTS Campus, DTS Care, DTS Logistics.
- Hardware sales: IT and electronics equipment sold through the site's online shop (see section 2 bis).
2 bis. Hardware sales (online shop)
The "Shop" section of the site sells IT and electronics hardware (phones, computers, screens, TVs, till equipment, CCTV, accessories). The following terms apply to these sales, in addition to the other sections of these Terms of Sale.
- Prices: displayed in Guinean francs (GNF) or euros (EUR) depending on the selected pricelist. The applicable price is the one shown on the order summary at validation; applicable taxes are detailed there.
- Order and availability: products are offered while stocks last. After validation, DTS confirms availability and lead time; if a product turns out to be unavailable, the order is adjusted or refunded for the part concerned.
- Payment: payment is made through the methods offered at checkout. The order is processed once payment is actually received.
- Pickup and delivery: free pickup in Conakry, or delivery within the city of Conakry; the method and lead time are confirmed with the order.
- Warranty: hardware is covered by its manufacturer's warranty, under the manufacturer's own terms; DTS assists the Client in exercising it. Any apparent defect must be reported at pickup or delivery.

3. Quote and Order
Each service gives rise to a named quote detailing scope, deliverables, timeline, resources and price. The quote is valid for 30 days unless otherwise stated. Signing the quote (or receipt of a purchase order) constitutes unconditional acceptance of these Terms of Sale.
4. Execution Terms
Services are delivered using an iterative methodology in four phases: Discovery · Design · Build · Launch. Any out-of-scope request gives rise to a change order.
Services can be delivered remotely or on site, in Guinea and across the OHADA zone. Any travel expenses are billed at cost with supporting receipts.
5. Client Obligations
- Provide the information, access and data required for the performance of the services;
- Appoint a designated contact authorised to make decisions within the agreed timeframes;
- Validate deliverables within the agreed timeframes (without feedback within 10 working days, they are deemed accepted);
- Comply with the licences of third-party software used in the delivered solutions.
6. Pricing and Payment
Prices are quoted excluding VAT. Unless otherwise agreed, billing is staggered: 30% on order, 40% at mid-point, 30% on delivery. Maintenance services (TMA) are billed monthly in arrears.
Invoices payable within 30 days of invoice date, by bank transfer. Any delay automatically triggers the application of interest at the legal rate and a flat-rate recovery fee.
7. Intellectual Property
Bespoke developments produced for the Client (code, data models, interfaces, documentation) are assigned to the Client on an exclusive basis upon full payment of the service.
DTS retains ownership of its internal tools, frameworks and pre-existing know-how. The Client receives a non-exclusive, perpetual right to use these components within the scope of the delivered solution. Open source software remains subject to its respective licences.
8. Confidentiality
Each party undertakes to maintain the confidentiality of information exchanged, including after the end of the contract. Personal data is processed in accordance with applicable regulations (GDPR, OHADA laws) and our privacy policy.
9. Warranty and Maintenance
Unless otherwise stipulated, delivered developments carry a 3-month warranty from go-live, covering the correction of reproducible blocking defects.
Beyond launch, DTS offers maintenance and support contracts (TMA) with SLAs tailored to criticality.
10. Liability
DTS's liability is limited to direct, foreseeable and proven damages. It shall not exceed the pre-tax amount received for the service in question.
Excluded are: loss of profit, turnover, data, any indirect damage, as well as cases of force majeure or failure of a third-party supplier.
11. Termination
In the event of a serious breach, the aggrieved party may terminate the contract by registered letter after a formal notice has remained without effect for 30 days. Services rendered up to termination remain due.
12. Governing Law and Jurisdiction
Terms governed by Guinean law and the applicable OHADA Uniform Acts. In the event of a dispute, an amicable solution shall be sought before any legal action. Failing that, the courts of DTS's registered office in Conakry shall have exclusive jurisdiction.
